Learn on Paper — Terms of Use

These Terms of Use ("Terms") are an agreement between you and Interamerican Technology Services Inc. ("we", "us", "Learn on Paper"). They cover your use of the Learn on Paper website and app at learnonpaper.com (the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Service.
1. What Learn on Paper is
Learn on Paper is a paper-trading simulator for learning. It lets you practice investing with simulated money. In the Service you can:
- get a simulated cash balance (currently $500,000 in paper cash after you confirm your email) and make simulated deposits and withdrawals of that paper cash;
- place simulated Buy, Sell, Short and Cover orders (market, limit and stop orders). A market order placed while the US market is closed waits and is filled with simulated money at the first real quote after the next regular market open;
- follow a watchlist, write notes about stocks, set price alerts (in-app and/or by email), and keep a trade journal;
- see stats, a calendar of results, reports, and charts of your simulated portfolio;
- export your simulated trading data as CSV or JSON files;
- use optional AI features (see Section 4).
2. Simulation only — no real money, no real trades
- All money in the Service is simulated. You never deposit real money, and you cannot withdraw, win or lose real money.
- We are not a broker, dealer, exchange or investment adviser. No order you place in the Service is ever sent to a broker, exchange or any real market.
- Simulated results are not real results. Simulated fills use real market quotes, but real trading involves things the simulator does not fully model, such as liquidity, slippage, partial fills, real commissions, taxes, margin rules and emotion. Doing well in the Service does not mean you would do well with real money.
3. Not investment advice
Nothing in the Service is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any security. This includes prices, charts, stats, reports, labels such as "Buy", "Sell", "Hold", "Watch" or "Trim", and any AI-generated content. The Service is for education and practice only. Before making real investment decisions, do your own research and consider speaking with a licensed professional.
4. AI features
Some features use artificial intelligence to write stock analyses, suggest strategy methodologies, run simulated "Advanced" strategy groups that place simulated orders in a separate paper book, and read price levels out of your notes.
- Sample AI. At the moment, these features may produce sample output that is clearly labeled "SAMPLE" or "Stub AI". Sample output is placeholder text. It is not a real analysis and does not use live news.
- Real AI (later). We plan to use an AI model provided by a third party, xAI (Grok). When we switch it on, AI output will be labeled as AI-generated.
- AI can be wrong. AI output can be inaccurate, incomplete, out of date or made up, including company facts, news, sources and numbers. Do not rely on it. It is not investment advice and does not reflect our views.
- Limits. We may limit how often you can use AI features (for example, one stored analysis per stock per day) and may change or remove AI features at any time.
- What you send. If you use AI features, text you write for them (such as notes, custom conditions, strategy methodologies and group names) may be sent to our AI provider to produce the result. See the Privacy Notice.
5. Market data
Quotes, charts and company names come from a third-party data source (currently Yahoo Finance). We do not create or guarantee this data. It may be delayed, wrong, incomplete or unavailable. When fresh data is not available, the Service shows the last known price marked as stale and does not invent prices. Market data is provided for your personal, non-commercial learning use only. 6. Who can use the Service
- You must be at least 18 years old.
- You must give a real email address you control and confirm it before your account becomes active.
- One person per account. Do not share your account or create accounts for others without their permission.
7. Your account
- Keep your password secret and use a strong one (the Service requires at least 12 characters). You are responsible for activity under your account.
- Tell us right away at support@learnonpaper.com if you think someone else has used your account.
- You can reset your password by email. Sign-in sessions end after 14 days or when you log out.
8. Support access to your account
To help with support requests or to keep the Service safe, an authorized Learn on Paper administrator may open a read-only view of your account. Each support view:
- requires the administrator to write down a reason;
- expires automatically (currently after 30 minutes) and cannot change anything in your account;
- is recorded in an audit log; and
- triggers an in-app notice to you, and appears in your Profile under "Account access log".
9. Acceptable use
When you use the Service, you agree not to:
- break any law or anyone else's rights;
- try to get into other users' accounts or data, or into parts of the Service you are not allowed to use;
- probe, scan, overload or disrupt the Service, or get around rate limits or security features;
- use bots, scrapers or automated tools to access the Service or to collect market data from it, except the data export we provide for your own data;
- resell, redistribute or commercially use market data or AI output from the Service;
- try to manipulate the AI features into producing harmful content or ignoring their rules;
- use the Service to send spam or harmful content, including in notes or strategy text;
- pretend the Service's simulated results are real trading results (for example, to promote a trading service); or
- copy, modify, or reverse engineer the Service, except as the law allows.
10. Your content
"Your content" means things you write in the Service, such as notes, journal entries, strategy methodologies, custom conditions and group names. You keep ownership of your content. You give us a limited permission to store, process and display it, and to send it to our service providers (such as our AI provider), only to run and improve the Service for you. You are responsible for your content. Please do not put sensitive personal information in it.
11. Our content
The Service, including its software, design, text and logos, belongs to us or our licensors. We give you a personal, limited, non-transferable permission to use the Service under these Terms. Market data belongs to its providers.
12. Emails
We send account emails (email confirmation, password reset, security notices and a confirmation when your account is deleted). If you turn them on, we also send price-alert, note-alert and analysis emails. You can switch email off for each price alert and note in the app. Daily analysis emails are chosen when you add a stock to your watchlist and stop when you remove that stock. [GAP: there is no separate switch to turn off a daily analysis email after adding a stock, and emails do not include an unsubscribe link.]
13. Free service; changes to the Service
The Service is currently free. [IF PAID FEATURES ARE ADDED LATER, ADD PAYMENT TERMS.] We may add, change, limit or remove features, change limits (such as the starting paper cash or watchlist size), or stop the Service, at any time. Simulated balances and positions have no cash value and we may reset them if needed (for example, to fix an error). [LAWYER: decide whether to promise notice before resets or shutdown.]
14. Ending your account
- You can stop using the Service at any time. You can delete your account yourself in Profile → Delete account; deletion is immediate and cannot be undone. You can also ask us to close your account by emailing support@learnonpaper.com.
- We may suspend or close your account, or limit access, if you break these Terms, if we must for legal or security reasons, or if we stop the Service. Where reasonable, we will tell you first.
- Sections that by their nature should continue (for example 3, 4, 10–11 and 15–19) continue after your account ends.
15. No warranties
The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no promises that the Service, market data or AI output will be accurate, complete, timely, secure, uninterrupted or error-free, or that it will meet your needs.
16. Limitation of liability
To the fullest extent the law allows:
- we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or any losses from real-world investment or trading decisions, even if you made them after using the Service; and
- our total liability for any claim about the Service is limited to [LIABILITY CAP, e.g. the greater of US$50 or what you paid us in the 12 months before the claim].
Some places do not allow these limits, so they may not fully apply to you.
17. Indemnity
You agree to cover our reasonable losses and costs (including legal fees) from claims by others caused by your breach of these Terms or misuse of the Service. [LAWYER: confirm scope, especially for consumers.]
18. Governing law and disputes
These Terms are governed by the laws of Florida, USA, without regard to conflict-of-law rules. Disputes will be handled in the courts located in Broward County, Florida, unless the law where you live gives you a right to bring them elsewhere. [LAWYER: decide on arbitration / class-action waiver, small-claims carve-out, and consumer-law protections for users outside the US (e.g. Brazil).]
19. Changes to these Terms
We may update these Terms. If we make important changes, we will tell you in the app or by email before they take effect [NOTICE PERIOD, e.g. 30 days]. If you keep using the Service after the changes take effect, you accept the new Terms. If you do not agree, stop using the Service and delete your account in Profile → Delete account, or ask us to close it by emailing support@learnonpaper.com.
20. Other terms
- These Terms and the Privacy Notice are the whole agreement between you and us about the Service.
- If any part of these Terms cannot be enforced, the rest stays in effect.
- If we do not enforce a right right away, we have not given it up.
- You may not transfer these Terms to anyone else. We may transfer them as part of a merger, sale or reorganization.
